Registering DLL into GAC

I was given a dll developed in .NET Environment.I need to register this in GAC to make use of it.
1. I created strong key name for registering it by using sn -k xxx.dll
2.when i used GACUTIL -i xxx.dll its not getting registered. pl. help me out
