Help!How to develop software contract

Hey guys,
I have been offerd a contract from a company. Project involves client server implementation. I do not know how much to charge per hour. currently i have agreed for $15 an hour. For right now they have agreed for 420 hours to be allowed for the completion of the project.
Project involves : client server programming, so it can be networked. So they have one server running but many clients connected.
It also involves Access database programming. As well as winsock and TAPI.

Well what i need is a software contract which will explain following things:
(please recommand a web site or send me your examples i will not redistribute it)


1. Project Goals
2. Project Time Line
3. Confidentiality
4. Developer License
5. Method of payment
6. Termination of agreement
7. Who Owns Work Product

also please suggest what else should i include in the contract as well as what i should keep in mind?

I am a very young guy with lot of knowledge of programming however i have never done contract work before.
What i also need to know is how can make it so i am also partially owner of the code. The company wants to be the owner of the code and entire project but i want a little part as well, so i have some rights of the project.

This stuff is not liked by companies - let me warn you. If they are paying you by hour to work FOR THEM, then the work you do BELONGS TO THEM.

What sort of rights you want on the code? If you're good, you can rewrite it anyway.

Well i suppose I was being stupid, but this is what i do not like

I am only making $15 / hour, however the project right is sold to another big software firm in NC for $ 500,000+ (this is what i have been told, it may be more). The right only lets them look at the code and test the program, look at some of the claver ways i came up with to deal with some of the issues to deal with 911 emergencies,but not to resell the program. The software i am working on is being sold for as much as $10000+ a copy.
This is a 911 system therefore many of the counties are intrested in it.
Other softwares made by bigger companies for 911E., requires very expensive equipment however the software i have built only requires a 50 dollar worth piece modem and a win nt os.


so i was just wondering if i could in some way to ask the people i work for to give me some cut. you know see what am i saying..
