can anyone tell me how to build a simple NT Service in VB.net? or maybe where i found some documentation about it?

Im not sure what all you are looking for, but under VB.NET projects in Visual Studio.NET there is a Windows Service template that you can use.

yes, but let's say in Visual Notepad? :). I don't have VS.net.
